Welcome to Nano ("Platform", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the Nano platform, operated by Nanosocials, located in Nigeria.
By creating an account or using any part of the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
Nano is an influencer marketing platform that connects content creators ("Influencers") with businesses ("Brands"). The Platform provides tools for campaign management, influencer discovery, content delivery, payment processing, and analytics.

If you are registering on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
Influencer accounts are for individual content creators who wish to connect their social media accounts, receive campaign invitations, create content for brands, and earn payments. You must connect at least one social media account and provide a valid username during onboarding.
Brand accounts are for businesses that wish to create marketing campaigns, discover and invite influencers, review content deliverables, and manage campaign budgets. You must provide your company information during onboarding.
You may register using an email address and password or through Google OAuth. You are responsible for maintaining the confidentiality of your account credentials. You must immediately notify us of any unauthorized use of your account.
We may send a verification email upon registration. While you may access the Platform before verifying your email, certain features may be restricted until verification is complete. Each account is for a single user or entity and may not be shared.
Influencers may connect social media accounts from supported platforms including Instagram, YouTube, TikTok, Twitter, Facebook, and LinkedIn. By connecting a social media account, you authorize us and our third-party data provider (Phyllo) to access your public profile information, follower metrics, engagement data, audience demographics, and content performance data.
You represent that you are the authorized owner of any social media accounts you connect. We use this data to calculate influence scores, match you with relevant campaigns, and provide analytics. You may disconnect your social media accounts at any time through your account settings.
Brands may create campaigns by specifying a campaign name, description, brief, target platforms, influencer tier preferences, number of cycles, and total budget in Nigerian Naira (NGN). Campaign budgets are calculated based on the selected influencer tiers and number of cycles. Brands must fund their wallet before a campaign can become active.
Influencers may receive campaign invitations or apply to open campaigns. By accepting an invitation, you agree to create and deliver content according to the campaign brief, submit content for brand review during the preparation phase, publish approved content on the designated platforms during the live phase, and submit proof of publication.
Campaigns operate in cycles. Each cycle consists of a preparation phase (7 days) for content creation and review, and a live phase (7 days) for content publication. A campaign may have between 1 and 8 cycles.
Influencers submit content deliverables (images and videos) for brand review. Brands may approve content, request revisions with feedback, or reject content with stated reasons. Influencers retain ownership of their original content unless otherwise agreed in a specific campaign. By submitting content through the Platform, you grant the brand a license to use the content for the purposes outlined in the campaign brief.

All transactions on the Platform are conducted in Nigerian Naira (NGN).
Brands deposit funds into their Platform wallet via Paystack (card, bank transfer, or USSD). Funds are held in your wallet balance and are escrowed when a campaign cycle begins. Campaign budgets are allocated across cycles based on tier pricing.
Influencer payments are based on a tier system determined by follower count and engagement metrics. Payment amounts are specified in each campaign invitation. Earnings are credited to your Platform wallet upon successful publication of approved content.
Influencers may request withdrawal of their earnings to a verified Nigerian bank account. A platform fee of 10% (capped at a maximum of NGN 30,000) is deducted from each withdrawal. Withdrawals are subject to review and approval. We reserve the right to delay or deny withdrawals if we suspect fraudulent activity or a violation of these Terms.
If a campaign is cancelled, unconsumed budget remaining in escrow is refunded to the brand's wallet. Refunds for wallet deposits are handled on a case-by-case basis and may be subject to processing fees.
Influencers are assigned a tier (G1 through G5) based on an influence score calculated from follower count, engagement rate, content quality, and audience authenticity. These scores determine campaign matching and base payment rates. Scores are recalculated periodically as new data becomes available. Nano reserves the right to adjust the scoring algorithm at any time.
The Platform uses artificial intelligence (powered by OpenAI) to assist with generating campaign descriptions and briefs, brand profile information from website analysis, influencer bios, application messages and content ideas, and campaign parameter suggestions. AI-generated content is provided as a starting point and may be edited by users. We do not guarantee the accuracy or completeness of AI-generated content. You are responsible for reviewing and approving all AI-generated content before it is used.

The Platform, including its design, features, code, and branding, is the property of Nanosocials and is protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Platform. The "Nano" name, logo, and related marks are trademarks of Nanosocials.
We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, fail to fulfill campaign obligations, or for any other reason at our sole discretion with reasonable notice. You may delete your account at any time by contacting support. Upon termination, any outstanding earnings will be paid out subject to our standard withdrawal process and fees. Any funds in escrow for active campaigns will be handled according to the applicable campaign terms.
The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that the Platform will be uninterrupted, error-free, or secure. We do not guarantee any specific results from using the Platform, including campaign performance, earnings, or influencer availability. We are not responsible for the actions, content, or conduct of any user on the Platform.
To the maximum extent permitted by Nigerian law, Nanosocials shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform. Our total liability for any claim arising under these Terms shall not exceed the amount you have paid to or received from the Platform in the 12 months preceding the claim.
You agree to indemnify and hold harmless Nanosocials, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising out of your use of the Platform, your violation of these Terms, or your violation of any third-party rights.
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act of Nigeria.
We may update these Terms from time to time. We will notify you of material changes by email or through a notice on the Platform. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you should stop using the Platform.
